Ex-IPP director Goh Jin Hian has won his appeal against a US$146 million (S$187 million) claim, with the Court of Appeal ruling that while Goh breached his duty by being unaware of IPP’s cargo trading business, the firm failed to prove that this caused its losses.Â
The court said directors aren’t expected to detect fraud unless warning signs exist. Goh’s lawyer called the ruling a key clarification on directors’ duties, noting it reflects commercial realities and limits of oversight.
