Several Chinese state-owned companies to delist from NYSE

China Life Insurance, Aluminum Corporation of China among companies leaving

Several Chinese state-owned companies including China Life Insurance and oil giant Sinopec announced plans on Friday to delist from the U.S. stock market.

The companies, which also include Aluminium Corporation of China (Chalco) and PetroChina, said in separate statements that they would apply for delistings of their American Depository Shares from the New York Stock Exchange (NYSE).

The four will keep their listings in Hong Kong and mainland Chinese markets.

"These companies have strictly complied with the rules and regulatory requirements of the U.S. capital market since their listing in the U.S. and made the delisting choice for their own business considerations," the China Securities Regulatory Commission (CSRC) said in a statement.

华盛资讯8月12日消息，中国石油、中国石化、上海石化和中国铝业等多家中概陆续发布公告表示，公司将根据美国证券交易法规定，申请自愿将其美国存托股份从纽交所退市。

ADR持有人可将ADR换回H股在联交所交易

中国人寿 $02628.HK 公告称，综合考虑该公司美国存托股份（ADR）的交易量与其H股全球交易量相比有限，以及维持ADR在纽交所上市行政成本较高等因素，国寿将申请自愿将其ADR从纽交所退市，并撤销该等ADR及其对应H股在证券交易法项下的注册。

国寿拟于8月22日或之后向美国证交会提交退市表格，其ADR退市预计会在表格提交10日后生效，在纽交所交易最后日期预计爲9月1日或之后，国寿拟其后向美国证交会申请撤销ADR及其对应H股的注册。公司又指，将在美ADR及其对应H股撤销注册后，未计划寻求将其H股在美国其他全国性证券交易所进行上市或注册，或在美国寻求对本公司H股的报价。至于国寿H股，将继续在香港联交所交易。

中石油 $00857.HK 亦宣布，已于8月12日通知纽交所将其ADR退市。中石油称退市是考虑到包括但不限于以下因素：ADR占公司H股及总股数比重很小，交易量与其H股全球交易量相比较低，同时由于不同上市地监管规则差异，导致继续维持ADR在纽交所上市的披露义务需要较大行政负担，以及公司从未使用纽交所二次融资功能且联交所和上交所具有较强可替代性，可满足公司正常经营的筹融资需求。

中石化 $00386.HK 收市后亦以相近理由宣布计划将其ADR从纽交所退市。中石油及中石化均拟于8月29日或前后，向美国证交会递交表格将ADR退市，退市预计在表格递交10日后生效。其中，中石油ADR在纽交所的最后交易日期为9月8日或前后。ADR从纽交所退市后，中石油将继续保留联交所和上交所作为公司股票的交易市场，ADR持有人可将ADR换回H股在联交所交易。

至于中铝 $02600.HK ，则拟于8月22日或前后向美国证交会申请ADR退市，预计最后日期为9月1日或前后。公司表示，此后其ADR是否会在场外交易所上交易，将取决于股东和独立第三方的行动，不涉及公司的参与。

早在今年2月26日，在纽约证券交易所上市20年的中海油，也进行着退市“摘牌”程序，当时中海油发布公告表示遗憾。

If these state own firms fall by only 3% when they announce their delisting from NYSE to move to HKSE....isn't it better for all the rest to announce one off to delist and move all shares to HKSE...instead of having this issue hang over the stocks for so long.

Many investors are waiting to buy pending this issue.

I thought the US side from their Sarbanes Oxley experience can help China to up their standards by providing free audits of audits... China can do with a good dose of best practices....given the numerous scandals the recent one involving the disappearance of bank customer money.

As for "sensitive" data, with the CIA and the usual spying between nations, what more can audit data provide.

The state own companies delisted on Friday it is already known they compete unfairly because they receive state funds and subsidies. It is almost laughable they worry this comes out during audit. Even if it did its not an accounting issue and auditor will pay no attention.
