SPH take over valuation $2.03...should you buy...I am doing so...
#1

Quote:Under the offer, SPH shareholders will receive 66.8 cents in cash per share, as well as 0.596 Keppel Reit units and 0.782 SPH Reit units per share.

Keppel Reits = 1.12
SPH reits = 0.89

Total value of takeover = 0.667+ 1.12x 0.596 + 0.89 x 0.782
=  $2.03

Stock is now $1.92

A 5.7% gap.

Holding period is 3-6months.

Risk 1 : Takeover voted down Risk 2: The reits fall in price.

Risk 1 is very low chance as takeover is beneficial as Keppel stand to make $600M with Conservative valuation of SPH assets is at least $2.50

Risk 2 is possible but if you are buying reits anyway you are getting these at a 5.7% discount which is attractive.

5.7% is not much.
Very risky as the 2 REITS may fall in prices.

Also you will get funny odd lots which will be very difficult to sell at the right price.

SPH assets are better than assets in the sph reits.

Keppel will not counter offer because Keppel is forced to do national service so that SPH can get a counter offer.

So whole thing is a show for OBS and Temasek to cut meat? ...I won't be too happy if I were sph shareholder.

Do you think that Keppel wants to buy SPH or SPH wants to sell SPH ?
Since SPH wants to split media to the govt, SPH has to change name or sell away.

Look like SPH cannot find private buyer, thus Keppel comes in to buy.
Keppel offer is low so that private counter offer can come in.

I think Keppel will counter offer. Not necessarily raise the price by a lot, but increase the cash component and reduce the non-cash components (Keppel Reit and SPH Reit).

This is partly why Keppel Reit rose 3.6% today on 30m units done so far.

at a turning point where more vtl is opening, it is better to chase bigger margin counters like those in transport, hotel, casino.

Counter offer is $2.35

I believe OBS group will go to $2.40 ...and that will be the one share holders take. There is still some meat left ...but not as much as before.

OBS group has come back with a new proposal at exactly the price I predicted of $2.40

This will be the final offer.

Congrats to all who bought for good  gains
